Fratello Trade JSC Banja Luka deals with trade, packaging, processing and distribution of fresh and frozen sea fish and seafood primarily, but also frozen vegetables, fruit, dough and ice cream, as well as products that require + regime: canned fish, olives, cheese and olive oil. Head offices of Fratello Trade are in Banja Luka. We have a branch office in Tuzla, branch office in Sarajevo, and daughter company in Belgrade. Fratello Trade JSC is the first private company in BiH that went through the procedure of Initial Public Offering on Banja Luka Stock Exchange and thus raised additional capital for development.

We are in the phase of gathering offers for construction of new business premises with total area of 640 m2. The premises include:

We got more than 100 new owners who together make 18.96% of total ownership of Fratello Trade JSC.
- We adopted the Statute, Rules of Procedure of Management Board, Rules of Procedure of Shareholders’ Assembly, Corporate Activities Calendar and Codex of Corporate Governance.
- With the new Statute, we enabled the shareholders to convene the meeting of shareholders’ assembly with 5% of votes.
- We plan for the new shareholders to name one member of the Management Board.
- Possibilities for potential investors before IPO: To be informed to the maximum about the present condition and plans for the future, before deciding on investment.
- Does Fratello have hidden intentions? – No, we don’t! We confirm this by introduction of ‘Lock-up’ (prohibition of selling imposed on shares of founder in the period of two years).
- We adopted a model by which the managers will be shareholders, and the company will use the right to own its own shares and transfer them to more successful managers based on the agreement.
- We supply the new chain of markets, ‘Tuš’, in Serbia.
- We have signed contracts with consulting firms – ‘Socius’ – Slovenia, and ‘Advantis’ – Banja Luka. (Advantis is in charge of preparation and other activities in connection to IPO and its completion. Socius is a counselor for corporate governance).
- We are in the phase of preparation for IPO (Initial Public Offering), which will be the first IPO in BiH. Initial public offering is expected at the end of this year. We plan an increase of share capital with 20% of new owners. Our goal is to create conditions for high quality and sustainable growth and development.
- The first supervision of ISO 9001/2000 verification as well as the first supervision of HACCP certificate by Codex Alimentarius CAC/RCP 1-1969 Rev. 4 (2003) were successfully carried out.
- A new branch office was open in Tuzla, which confirms our striving for getting closer to our customers. The final goal is strengthening of our market presence.
